TERMS AND CONDITIONS OF SALE

  1. General Provisions These Terms and Conditions ("Terms") govern the online sales of custom, made-to-order, and cataloge products (“Products”) by Coral Moshe Hayman or Celune Studio ("Celune", "we", "us", "our") via the website celunestudio.com (the "Website"). By placing an order, you ("Customer", "you") agree to be bound by these Terms.
  2. Scope of Application & Made-to-Order Manufacturing: These Terms apply to all orders placed by consumers located in Switzerland, the European Union (EU), the European Economic Area (EEA), and the United States (US). If you are a consumer residing in the EU, mandatory statutory consumer protection regulations of your country of residence shall remain unaffected by these terms.
  3. Products and Small Batch Variations: Celune takes pride in offering uniquw designs produced in small batches or via independent manufcturing processes. Because our items are not mass-produced in highly standardized industrial runs, slight variations may occur. By placing an order, you acknowledge and agree that minor differences in color, sizing, fit, print placement, or texture between the physical product and the images displayed on the Website are a natural hallmark of our small-batch production process and do not consistute a defect.
  4. Orders, Payments, and Right to Refuse/Cancel 4.1. Architecture: Celune operates using a "headless" e-commerce architecture. While our frontend provides the shopping experience, our backend operations are managed by Shopify Inc. 4.2. Payments: Payment processing is securely handled directly on our Website via our designated third-party payment gateway Shopify Payments. We do not store your full credit card information 4.3. Formation of Contract: Your order is a binding offer to purchase. The contract of sale is concluded only when we send you an explicit order confirmation via email. 4.4. Right to Refuse Orders & Prevent Abuse: We reserve the right to refuse, limit, or cancel any order you place with us at our sole discretion. This includes orders that appear to be placed by dealers, resellers, or distributors, or orders flagged by our systems as potentially fraudulent. Furthermore, we reserve the right to refuse service, limit quantities, or block accounts of customers who exhibit a pattern of returning items excessively or otherwise abusing our return policy.
  5. Shipping, Delivery, and International Customs: 5.1. Dispatch: We aim to dispatch orders within 10 business days. Delivery times are estimates and depend on the carrier. 5.2. Customes, Duties, and Import Taxes: All prices are stated in CHF. For international shipments (including the EU and US), the Customer is solely resposible for all custome duties, import taxes, and brokerage fees applicable in the destination country. 5.3. Refused or Abandoned Packages: If an international package is refused at customs, abandoned by the carrier due to unpaid duties, or returned to us due to an incorrect address provided by the Customer, the Customer will be held responsible for all original shipping costs and any return shipping fees or penalties incurered by Celune. These costs will be deducted from any potential refund. If the return costs exceed the value of the order, no refund will be issued.
  6. EU Right of Withdrawal (Cancellation Policy): If you are a consumer residing in the EU or EEA, you have a statutory right of withdrawal as follows:
    • Right of Withdrawal: You have the right to withdraw from this contract within 14 days without giving any reason (but we would like to learn why). The withdrawal period will expire after 14 days on which you acquire physical possession of the goods.
    • Exercising the Right: To exercise the right of withdrawal, you must inform us (contact@celunestudio.com) of your decision by an unequivocal statement. You may use the attached Model Withdrawal Form.
    • Effects of Withdrawal: We shall reimburse all payments received from you, including standard delivery costs (original shipping to you), within 14 days of being informed of your decision. We may withhold reimbursement until we have received the goods back.
    • Return of Goods: You must send back the goods within 14 days. You will have to bear the direct cost of returning the goods.
    • Condition: Items must be retuned in their original condition. You are liable for any diminished value of the goods resulting from handling them beyond what is necessry to established their nature and characrerisitcs.
  1. US and ROW Return Policy: For customers outside the EU/EEA, returns are accepted within 14 days of receipt. Items must be in original state. Return shipping is entirely at the customer’s expense. Original shipping fees are non-refundable.
  2. Intellectual Property Rights (Strictly Enforced) 8.1. Ownership: All designs, products, graphics, logos, images, text, and original content on celunestudion.com are the exclusive intellectual property of Celune and are protected by international copyright, design, and trademark laws. 8.2. Prohibited Use: You are strictly prohibited from copying, reproducing, reverse-engineering, modifying, distributing, or using any of our designs or products from commercial purposes, resale, or manufactuirng without our express, prior written consent. Any unauthorized use of our intellectual property will result in immediate legal action.
  3. Warranty for Defects: We are liable for material defects in accordance with the applicable statutory provisions. Our warranty is strictly limited to clear manufacturing defects or damage during transit. It does not cover normal wear and tear, damage due to improper care, or the minor small-batch variations described in Section 3. If an item arrives defective, notify us at contact@celunestudio.com within 7 with photographic evidence.
  4. Force Majeure: Celune shall not be held liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control (Force Majeure Event). This includes, but is not limited to: strikes, civil commotion, riot, terrorist attack, war, fire, expolsion, storm, flood, earthquake, epidemi, pandemic, customs blockage, or failure of public or private transport or telecommunications networks. In such events, our obligations will be suspended and the time for performance extended for the duration of the Force Majure Event.
  5. Governing Law and Dispute Resolution 11.1. These Terms are governed by the laws of Switzerland, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). 11.2. If you are a consumer habitually resident in the EU, this choice of law does not deprive you of the protection afforded to you by provisions that cannot be derogated from by agreement under the laws of your country of residence.
